The agreement that governs use of Binary AIQ.
These terms apply to every customer and authorised user of the Binary AIQ platform. Enterprise customers may execute a Master Services Agreement that supersedes specific sections; the MSA controls to the extent of any conflict.

The service.
Binary AIQ is a software service that records personal-data processing activities, publishes privacy notices, captures consent, answers data-principal rights, tracks retention and evidences compliance obligations. The service is provided by Binary AIQ Technologies Private Limited.
Access is granted under a written subscription for the term stated in the ordering document. Feature availability follows the plan on the ordering document and the current published pricing.

Confidentiality and data protection.
Each party will hold the other's confidential information in confidence and use it only to perform this agreement. Confidentiality obligations survive termination for three years or as long as the information remains confidential, whichever is longer.
Personal data processed through the platform is governed by the Data Processing Addendum, which forms part of these terms and is incorporated by reference. The DPA addresses controller-processor obligations under the DPDP Act 2023 and, where relevant, the GDPR.

Warranties and liability.
Binary AIQ warrants that the service will materially conform to the published documentation and will be provided with reasonable care and skill. Except as expressly stated, the service is provided without further warranty.
Neither party is liable for indirect, incidental, consequential or punitive damages. Each party's aggregate liability under this agreement is limited to fees paid in the twelve months preceding the claim. Nothing limits liability for wilful misconduct, fraud, breach of confidentiality or infringement of intellectual-property rights.
Governing law and jurisdiction.
These terms are governed by the laws of India. The courts at Bengaluru have exclusive jurisdiction, subject to any different forum stated in a signed MSA.
